Matt Flake
Chief Executive Officer and Chairman of the Board
A visionary leader known by Q2 team members and customers alike for his authentic, engaging, and quick-witted communications style, Matt Flake is committed to Q2's mission to build stronger and more diverse communities by strengthening their financial institutions. He values direct engagement with customers and prospects and leverages his inquisitive nature to uncover innovative ways to improve the Q2 organization.
Flake has made significant contributions to Q2's growth, strategic direction, and mission-driven culture. He was instrumental in driving Q2's rise from a startup to a publicly traded company with a global workforce, more than 1,000 financial institutions across the globe, and a market capitalization exceeding $4 billion.
He is a veteran of the financial services industry with more than 25 years of professional experience, 20 of those years with Q2. In addition to his roles as president and CEO, Flake also serves as chairman of the Board.
A graduate of Baylor University, Flake is a recipient of the esteemed EY Entrepreneur Of The Year® Award and was also recognized as a National Finalist. He is currently a member of the Dell Children's Hospital Board of Trustees.
Andre L. Mintz
Board Member
Andre Mintz joined the Q2 Board of Directors in March 2025. Mintz currently serves as a director of CS Disco, Inc., a provider of e-discovery solutions. He previously served as vice president of Global Security and Privacy Programs and DMA head of compliance at Meta (formerly Facebook). In this role, he led the company's global privacy and security initiatives and managed data protection and compliance across Meta's extensive ecosystem, including its financial services arm, Meta Payments.
Before joining Meta, Mintz was chief information security officer (CISO) of Newport Group, a financial services company and leading provider of retirement plans, corporate insurance, and consulting services, with over $500 billion in assets under administration. Earlier, he served as executive vice president at Red Ventures, a $10 billion portfolio of digital companies, where he held the combined global roles of CISO and chief privacy officer (CPO). Mintz also served as vice president and chief security officer at Reuters, director of Trustworthy Computing and chief security strategist at Microsoft, and the first chief information security officer at Kinko's.
Mintz co-founded Meta Security Group in 1998 (later acquired by Scalable Software in 2005) and was appointed to Microsoft's World-Wide Chief Security Officer's Council in 2003. He also served on the Board of Directors of the Cloud Security Alliance, a nonprofit organization that promotes best practices for security assurance in cloud computing, and previously on the Board of Directors of Absolute Software Corporation, from August 2021 to July 2023. He is a U.S. Air Force veteran, a Certified Information Systems Security Professional, a Certified Third-Party Risk Professional, a graduate of the FBI Chief Information Security Officer's Academy, and a recipient of a Graduate Certificate in Cybersecurity from Harvard University.
Jim Offerdahl
Board Member
Jim Offerdahl has more than 30 years of experience in the technology industry, serving in progressive CXO positions and board director roles in high-growth software companies, both public and private. He has led three initial public offerings, executed numerous mergers and acquisitions, and built a strong record of scaling companies, maximizing revenue growth, driving profitability, and strengthening marketplace leadership.
In addition to serving on the Q2 Board of Directors, Offerdahl serves on the boards of directors of CS Disco, Inc. (NYSE: LAW), a provider of cloud-native, AI-powered e-discovery, document review, and case management solutions for law firms, corporations, and government agencies; and Rev.com, a venture-backed provider of highly accurate transcription services for legal case analysis using proprietary speech recognition technology. He is also the former chairman of the board of Traq-Wireless and a former board member of M-Files, FuelQuest, and Pervasive Software.
He served as chief financial officer (CFO) of Bazaarvoice (NASDAQ: BV) from 2013 until its acquisition by Marlin Equity Partners in February 2018, growing annual free cash flow from negative $54 million to a positive run rate of $11 million and EBITDA from negative $18 million to a positive run rate of $31 million. From 2005 to 2012, he served as CFO at Convio Inc., guiding the company through three strategic acquisitions and an initial public offering while growing revenue from $9 million in 2004 to more than $80 million in 2011, ahead of its 2012 acquisition by Blackbaud Inc. Earlier, Offerdahl was president and chief executive officer of Traq-Wireless, Inc. Before that, he served as chief operating officer and CFO of Pervasive Software, Inc., which he took public in 1997, and as CFO and vice president of Administration of Tivoli Systems, Inc., which went public in 1995 and was acquired by IBM in 1996.
Offerdahl has also served on numerous nonprofit boards, including Side by Side Kids and the Texas American Cancer Society, and as chairman of the board for the Texas chapter of AeA (formerly known as the American Electronics Association). He holds an MBA from The University of Texas at Austin and a Bachelor of Science from Illinois State University.
Lynn Antipas Tyson
Board Member
Lynn Antipas Tyson is a senior executive and board director whose career spans more than three decades in investor relations, corporate finance, strategy, and strategic communications. At Ford Motor Company, she served for more than eight years as chief investor relations officer and a member of the company's Enterprise Leadership Team, leading Ford's engagement with equity and fixed-income investors and rating agencies before moving into a senior advisory role to the vice chairman. She retired from Ford in July 2026.
Her earlier career included senior finance and strategic communications roles over 14 years at PepsiCo, where she ultimately served as senior vice president, Investor Relations; a decade at Dell leading Investor Relations and Global Corporate Communications; and an earlier role leading Investor Relations for YUM! Brands, including its 1997 spinoff from PepsiCo. She is a recipient of the Public Relations Society of America's Silver Anvil Award for excellence in crisis communications.
Tyson joined the Q2 Board of Directors in April 2021 and serves on the Audit Committee and the Nominating and Corporate Governance Committee. She holds a bachelor's degree in psychology from the City College of New York and an MBA in finance and international business from the Stern School of Business at New York University. She is also a long-standing member of the National Investor Relations Institute and served on its board from 2004 to 2008.
Lynn Atchison
Board Member
R. Lynn Atchison has served as a member of the Q2 Board of Directors since March 2017. She currently serves as a director of Bumble, Inc., an online dating platform, following a long career in financial leadership across the software and technology sectors. Most recently, Atchison served as chief financial officer of Spredfast, Inc., a social marketing software provider.
Earlier in her career, she held chief financial officer roles at HomeAway, Inc., a provider of online vacation rental services, and Infoglide Software Corporation, an enterprise software provider. Atchison also spent time as a business consultant for Range Online Media, an internet marketing firm, before taking on the combined roles of chief financial officer and vice president of finance and administration at Hoover's, Inc., a provider of online business information, and later serving as chief financial officer of Travelogix, Inc., a provider of travel ticketing systems software. Before all of this, she worked as a consultant providing controller functions for software, technology, and nonprofit organizations, including Trilogy Development, a provider of sales automation software, and Austin American Technology.
Atchison holds a Bachelor of Business Administration in accounting from Stephen F. Austin State University. Her extensive experience managing technology and software companies and her financial expertise make her a valuable member of the Q2 Board of Directors.
Margaret L. “Peggy” Taylor
Board Member
Margaret L. "Peggy" Taylor, who joined the Q2 Board of Directors in June 2020, now works as a private investor and advisor after a career built largely in enterprise software leadership and financial services. She spent much of that career at PeopleSoft Investments, Inc., an investment management and advisory subsidiary of PeopleSoft, Inc., the enterprise software company later acquired by Oracle Corporation. While at PeopleSoft Investments, Inc., Taylor served as president and also held the role of senior vice president of corporate operations. Her background in financial services includes vice president roles in trust and investment management at Hibernia Bank and in organization, planning, and development at Bank of California.
Taylor's board experience runs wide. She has served on the boards of directors of numerous publicly traded corporations, including Rimini Street, Inc., a provider of enterprise software products and services, and FICO, formerly Fair Isaac Corporation, a decision analytics company. She continues to serve on the boards of several private companies today as well. On the academic side, Taylor holds a Bachelor of Arts in communications and psychology from Lone Mountain College of California and has completed the Corporate Governance Program at Stanford Business School and the Compensation Committees Program at Harvard Business School.
Taken together, Taylor's experience in enterprise software and financial services, combined with her board service across various technology companies, gives her valuable insight for the Q2 Board of Directors. That insight is especially relevant to her work on the Compensation Committee and the Nominating and Corporate Governance Committee.
Stephen C. Hooley
Board Member
Stephen C. Hooley joined the Q2 Board of Directors in August 2020. Hooley serves as a director of Brighthouse Financial, Inc., a provider of annuities and life insurance; and of RenaissanceRe, a global provider of reinsurance and insurance that specializes in matching desirable risk with efficient capital.
Hooley previously served as chief executive officer and president of DST Systems, Inc., a service-as-a-solution technology company. Prior to this, he served as chairman of a joint venture between DST Systems and State Street Corporation. Before that, he held several executive leadership roles at State Street Corporation. He began his career as an engineer with Texas Instruments.
Hooley also served on the board of directors of Legg Mason until its acquisition by Franklin Templeton in 2020, and previously served as a director of DST Systems and Boston Financial Data Services. He holds a degree in mechanical engineering from Worcester Polytechnic Institute.

Ethical leadership starts at the top. Our Board of Directors and its committees set clear expectations for ethics and compliance, regularly reviewing policies, governance best practices, and emerging risks to ensure our standards remain strong and forward-looking.
Audit Committee
The Audit Committee oversees the integrity of Q2’s financial reporting, internal controls, and compliance programs. Our Internal Audit and Compliance teams provide quarterly updates on performance, training adherence, and regulatory compliance. The Committee also maintains oversight of our Related Party Transactions Policy to ensure transparency and accountability.
Risk and Compliance Committee
The Risk and Compliance Committee provides oversight of our enterprise risk management and compliance programs. Meeting quarterly, the Committee ensures our information systems and solutions adhere to applicable legal and regulatory standards, helping safeguard our customers and their account holders.
Nominating and Corporate Governance Committee
The Nominating and Corporate Governance Committee oversees Q2’s governance guidelines, compliance with NYSE listing standards, and, together with the Audit Committee, our Code of Business Conduct and Ethics. The Committee also provides leadership on Q2’s environmental, social, and governance (ESG) strategy and initiatives.
Committed Team
Our people are the foundation of Q2’s success. We’re guided by principles that promote integrity, accountability, and ethical conduct in every interaction - with our customers, partners, and each other. Every new Q2er receives our Code of Business Conduct and Ethics as part of onboarding and completes training on topics such as anticorruption, data protection, and confidentiality. We also maintain a global compliance hotline, available to all employees for confidential reporting of concerns or potential violations.
Corporate Social Responsibility
Giving back is one way we live out our mission. Through Q2 Spark, our corporate social responsibility program, employees support nonprofits and community organizations around the world. One of Spark’s key initiatives, the Q2 Philanthropy Fund, launched in 2022 and continues to provide grants to organizations making a difference in the communities where Q2ers live and work - and in those supported by our customers.
